Terms of Service

1. Acceptance of Terms
By accessing or using CloudLink services, you agree to be bound by these Terms of Service. If you are using CloudLink on behalf of an organization, you represent that you have authority to bind that organization.
2. Service Description
CloudLink provides cloud infrastructure management, emergency rescue, DevOps services, and related tools ("Services"). Services are provided on an "as-is" and "as-available" basis subject to the SLA.
3. Your Responsibilities
You are responsible for: (1) maintaining the security of your account credentials, (2) all activity under your account, (3) ensuring your use complies with applicable laws, (4) providing accurate billing information.
4. Service Level Agreement
For paid plans, we guarantee 99.99% platform uptime and response times as specified in your service agreement. Credits are issued for SLA breaches as described in the SLA addendum.
5. Payment Terms
Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or stated in our refund policy. Past-due invoices accrue interest at 1.5% per month.
6. Intellectual Property
CloudLink retains all rights to its platform, APIs, documentation, and branding. You retain all rights to your data. Each party grants the other a limited license necessary to perform under these terms.
7. Limitation of Liability
To the maximum extent permitted by law, CloudLink's total liability under these terms shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
8. Termination
Either party may terminate with 30 days written notice. Upon termination, your data is available for export for 90 days, after which it is permanently deleted.
